Resolution 2015-06-02.mm.1: Board member accountability


This resolution was adopted by the Board of Directors of SPI at their meeting of July 9, 2015.
WHEREAS

(一)Any member of the Board of Directors representing themselves by their respective title can be reasonably presumed to be acting on behalf of the Organization;

THE SPI BOARD RESOLVES THAT

No member of the Board of Directors may act on behalf of the Organization without the consent of the Board; and
In the event of an action by any member of the Board beyond their authority, any member of the Board may request a review of that action and any related actions; and
The Board disclaims responsibility for any action taken by a member of the Board outside of the Board's authority.
